Terms and Conditions

1. Introduction

This Agreement ("Agreement") is made between EduPrep Hub LLC ("Provider") and the subscriber ("User") regarding the subscription license to access and use "EduPrep Hub" ("Software"). By purchasing or using the Software, the User agrees to comply with these terms and conditions.

2. License Grant & Restrictions

• The Provider grants the User a non-exclusive, non-transferable license to access and use the Software for educational purposes.
• The User may not sublicense, resell, reverse-engineer, or modify the Software without explicit written permission from the Provider.
• Any unauthorized use or distribution will result in termination of the license.

3. Subscription & Payment Terms

• Subscription fees are the annual subscription fee per Annual use and will be charged via the acceptable Payment Methods.
• Automatic renewal applies unless canceled before the next billing date.
• Late payments may result in suspension or termination of access.

4. Software Access & Delivery

• The Software will be delivered electronically via the eduprephub.com platform.
• The Provider may update or modify the Software to enhance functionality.
• The User is responsible for maintaining compatibility with required hardware or systems.

5. Copyright & Intellectual Property Rights

• The Software, including all code, content, design elements, and documentation, is protected by copyright and other intellectual property law.
• The Provider retains full ownership and rights over the Software and its associated materials.
• The User may not copy, distribute, or create derivative works based on the Software without explicit written permission from the Provider.

6. Non-Distribution Clause

• The User agrees not to share, distribute, or sell the Software or any portion of its content to third parties.
• Unauthorized distribution, reproduction, or public sharing of the Software will result in legal action and immediate termination of the subscription license.
• Any attempt to bypass access controls or licensing mechanisms is strictly prohibited.

7. User Responsibilities

• The User must ensure that their account credentials are secure and confidential.
• Any breach of security or unauthorized access must be reported immediately.
• The User agrees to comply with all applicable laws and regulations.

8. Privacy & Data Protection

• The Provider will handle user data in accordance with the Privacy Policy.
• Personal data collected will be used solely for providing services and improving functionality.

9. Support & Maintenance

• Technical support is available via email at support@eduprephub.com during business hours.
• The Provider does not guarantee uninterrupted availability but will endeavor to resolve issues promptly.

10. Termination & Cancellation

• The User may cancel their subscription at any time, effective at the end of the current billing cycle.
• The Provider may terminate the license if the User violates these Terms and Conditions.

11. Limitation of Liability

• The Provider shall not be liable for indirect, incidental, or consequential damages arising from the use of the Software.
• The Software is provided "as is" without warranties of any kind.

12. Governing Law & Dispute Resolution

• This Agreement shall be governed by the laws of State of Arizona, USA.
• Any disputes shall be resolved through mediation or arbitration as outlined herein.

13. Amendments

The Provider reserves the right to modify these Terms and Conditions, with updates communicated to subscribers in advance.
